According to US Weekly, the pair are planning a summer wedding.
Panettiere and Klitschko first began dating in 2009, but later split in February 2011 due to the long-distance nature of their relationship.
In January of this year, Panettiere said she and Klitschko were "just good buddies". A month later, the couple were spotted having dinner together, fuelling more rumours that they were back together.
However, the 23-year-old actress was also being linked to another ex-boyfriend, Scotty McKnight, at the same time, but a source has said Panettiere is with Klitschko, even accepting a marriage proposal from the boxer.
They explained: "Very few people know, and she isn't wearing her ring publicly yet."
The source added that the couple were looking at a summer wedding, but stressed that nothing was official yet.
Panettiere has previously been linked to her former Heroes co-star Milo Ventimiglia, as well as American footballer Mark Sanchez, although she later said she and Sanchez were just friends.
